terms and conditions

Acceptance of Terms of Use: Effective from 6th August 2023.

1. Acceptance of Terms 

By accessing or using the Weliin Assist platform (www.weliinassist.com / www.weliin.com), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please discontinue use immediately. Weliin Assist reserves the right to update these Terms at any time; continued use after any update constitutes acceptance. 


2. Eligibility 

The platform is available only to individuals legally competent to contract under the Indian Contract Act, 1872. Persons below 18 years of age must transact through a parent or legal guardian. By accepting these terms, you confirm you are 18 years or older and, where applicable, authorized to bind the entity you represent. 


3. Intellectual Property 

 

All content on the platform  including logos, layouts, creatives, and deliverables produced under any package  is the exclusive property of Weliin Assist Private Limited or its licensed vendors. 

• Deliverables are licensed to the Client for their own commercial use only. 

• Resale, sublicensing, or redistribution to third parties without prior written consent is prohibited. 

• Clients warrant that all brand assets, images, or text they supply are owned or properly licensed by them. Weliin bears no liability for any infringement arising from Member-supplied materials. 

This Site contains graphics, photographs, images, document layouts, artwork, text, fonts, music, software tools, and other information (collectively “Content”). All rights are reserved worldwide. It is strictly prohibited to retain, copy, distribute, publish, or use any portion of the Content except as expressly permitted in these Terms.


4.  Use of Site  

 

You are granted permission to access and use this Site solely for the purpose of preparing, evaluating, and ordering products or services through Weliin Assist. No other download, retention, use, publication, or distribution of any portion of the content is authorized. 

• You are solely responsible for your use of content in combination with any other materials you incorporate into your products or services. 

• You warrant that all text, images, designs, trademarks, or copyrighted works of any third party included in your materials are properly authorized. 

• By placing an order, you warrant you have all necessary permissions and authorize Weliin to produce the products on your behalf. 

• You are responsible for protecting your password and controlling access to your registered account. 

• You agree to use this Site in full compliance with these Terms and all applicable local laws and regulations, including export and import regulations. 

• Weliin Assist may terminate service and/or accounts of users found engaging in undesirable activities or violating these Terms. 


5.  Pricing & Payment 


Pricing is as published on the platform at the time of subscription. All prices are exclusive of applicable GST unless otherwise stated. Payment must be made in advance; services activate only upon payment confirmation. 

• Discounts (e.g., 5% on quarterly and 15% on half-yearly plans) apply only to the stated plan and are non-transferable. 

• The GST Registration Number and Entity Name, if applicable, must be provided at the time of the order and cannot be amended thereafter. 

• Any tax liability arising from incorrect information rests solely with the Client. 


6. Taxes 

 

All transactions are subject to applicable GST at prevailing rates. Clients agree to pay GST or other similar taxes, whether international, national, state, or local, however designated. 

• Client is responsible for any fees, including attorney and collection fees, that Weliin Assist may incur in its efforts to collect any remaining balances. 

• GST registration number and Entity Name must correspond to the billing address provided. No changes will be allowed once the order is placed. 

• Weliin Assist will not be responsible for verification of GST registration numbers. Any tax liability arising from incorrect information shall be borne by the Member. 

• If a client fails to furnish a GST registration number at the time of order, the Member will be treated as ‘unregistered’ and will not be able to avail any input tax credit. 

• Weliin’s liability under the GST regime is limited to the tax charged on its own invoices.  


7. Cancellation & Refund Policy 

7.1 Full Refund Window: 7 Working Days 

If a client is not satisfied with the quality of work delivered, or if no work has been initiated, a full refund may be requested within 7 working days from the date of payment. The Client must raise a written request at connect@weliinassist.com with a reason for dissatisfaction. Weliin Assist will review and process eligible refunds within 15 working days of confirmation. 

7.2 No-Refund Situations 

No refund will be issued where: 

• The cancellation is due to a change of mind, business closure, or partner disagreement unrelated to Weliin Assist’s performance. 


 

The Client has approved deliverables and subsequently changed brand direction or requirements. 

• More than 10 days have elapsed from the date of payment. 

• The Client has violated these Terms or misused the platform. 

• Refund abuse is detected. Weliin Assist reserves the right to blacklist such accounts. 

7.3 Refund Method 

Refunds will only be processed via IMPS, NEFT, or RTGS to a valid bank account provided by the Client. 

• For Cash on Delivery transactions, refunds may be made to any bank account via NEFT; it is the Member’s responsibility to share valid bank details. 

• For electronic payments (debit card, credit card, net banking, wallet, etc.), refunds shall be made using the same payment mode.


8. Limitation of Liability 

Weliin Assist’s aggregate liability shall not exceed the total fees paid by the Client for the relevant billing cycle. Weliin shall not be liable for indirect, consequential, or punitive damages of any kind. 

THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 

• Weliin Assist does not warrant that product descriptions are accurate, reliable, and error-free.

• References and links to third-party products or services are provided “as is” without warranty. 

• Where applicable consumer guarantees cannot be excluded by law, Weliin limits its liability to the resupply of services or replacement/repair of goods at its option. 


9. Confidentiality 

Weliin Assist will keep all clients' business information, briefs, and brand data confidential and will not disclose these to third parties except as required to deliver the subscribed services or as mandated by law. 


10. Indemnification 

Clients agree to indemnify and hold harmless Weliin Assist, its directors, officers, and employees from all claims, damages, costs, and legal fees arising from the following: 

• Breach of these Terms. 

• Content or materials provided by the Client. 

• Infringement of any third-party rights by Client-supplied materials. 

Weliin Assist reserves the right to control the defense of any such suit, claim, or demand.  


11. Feedback & Submissions 

Any feedback, suggestions, proposals, or other information submitted to Weliin in connection with the operation or content of this Site shall be received on a non-confidential basis and become the exclusive property of Weliin Assist Private Limited. By submitting, you assign all rights in such material to Weliin at no charge. 

 

12. Governing Law & Dispute Resolution 

These terms are governed by the laws of India. In the event of a dispute, the parties shall first attempt amicable resolution within 30 calendar days. Unresolved disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India. 


13. Severability & Entire Agreement 

If any provision is found unenforceable, the remaining provisions remain in full force. These Terms, together with any applicable Schedule and the Privacy Policy, constitute the entire agreement between Weliin and the Member. 


Schedule 1:  Creative Assist

Applicable to: General Creatives Assist, R&D Creatives Assist, and Marketing Creatives.


Package Deliverables Per Billing Cycle

  • Total Creatives: General Creative Assist: 14 | R&D / Marketing Assist: 12
  • Static Creatives: General Creative Assist: 7 | R&D / Marketing Assist: 6
  • Video Bites: General Creative Assist: 7 (max 2 long videos) | R&D / Marketing Assist: 6 (max 2 long videos)
  • Long Videos: General Creative Assist: 1–5 min; single topic each | R&D / Marketing Assist: 1–5 min; single topic each
  • Short Bites: General Creative Assist: Up to 60 seconds | R&D / Marketing Assist: Up to 60 seconds.


Brief, Revisions & Approval 

• Creative briefs must be submitted within 5 working days of package activation. • Clients are entitled to unlimited revisions per creative, provided revisions apply to the original concept. Changes from scratch will be counted as a new creative. 

• Creatives not reviewed or revised within 2 working days of delivery will be treated as approved and delivered. 

• Unutilized creatives will be forfeited in the first month only. From the second month onward, unutilized creatives will not be forfeited. 


Ownership & Usage Rights 

• Final approved creatives are licensed to the Member for their own commercial brand use only. 

• Weliin Assist retains the right to showcase completed work in its portfolio unless the member opts out in writing at the time of order placement. 

• Clients warrant that all brand assets, text, or images supplied are owned or duly licensed by them.


Prohibited Content 

Weliin Assist will not produce creatives that are defamatory, obscene, politically sensitive, infringing on third-party rights, or contrary to applicable law. Weliin reserves the right to decline any brief.


Schedule 2: Marketing Assist 

Applicable to: Marketing Assist Package. 

• Deliverables: 12 creatives (6 static, 6 video) per cycle. Creative limits and terms are identical to Schedule 1 (R&D and Marketing Assist tier). 

• Ad Spend Limit: Weliin manages campaigns with an ad-spend cap of ₹50,000 per platform (e.g., ₹50k on Meta, ₹50k on Google, and ₹50k on LinkedIn). 

• Ad spend paid directly to platforms is separate from the management fee and is the client's sole responsibility. 

• Campaign results including impressions, leads, or ROI are not guaranteed. Marketing outcomes are not grounds for a refund. 

• Brand guidelines and approved ad budgets must be provided within 5 business days of activation.


Schedule 3: Sales Assist (Channel Partnership) 

Includes Channel Sales Partnership, We-Shop (E-Commerce), and We-Book. 


Channel Sales Partnership 

This is a B2B arrangement governed exclusively by a separate Memorandum of Understanding (MOU) signed between Weliin Assist and the Channel Partner. 


We-Shop (E-Commerce): Platform Scope 

Weliin Assist functions exclusively as a cloud-based listing platform connecting buyers and sellers. The policies in this section (Shipping & Delivery, Cash on Delivery, and Returns & Replacements) apply solely to products sold and fulfilled directly by Weliin Assist Private Limited through We-Shop. Third-party brands and sellers listed on the platform operate under their own independent policies, which are made available to customers at the time of purchase. 


We-Shop: Shipping & Delivery (Weliin Assist Products Only) 

All Weliin Assist products purchased through We-Shop shall be delivered by the Logistics Partner engaged by Weliin Assist. Weliin Assist will endeavor to deliver on the estimated arrival date but cannot accept liability for any delay, regardless of cause. 

• Estimated arrival dates are purely indicative and subject to change after order placement. 

• Weliin Assist disclaims liability for delays or damages caused by bad weather, flight delays, political disruptions, or other unforeseen circumstances beyond its control. 

• The Member must provide an accurate and complete postal address. Weliin will not be liable for delays, loss, or incorrect delivery due to inaccurate or incomplete addresses.

• Clients will be liable to pay for any product undelivered due to incomplete or incorrect address details. 

• If the Member is unavailable for delivery or refuses delivery within 7 days of the first attempt, Weliin is entitled to dispose of the product and bears no liability for any misuse thereafter.


We-Shop: Cash on Delivery / COD (Weliin Assist Products Only)  

COD is available only for select pin codes. The Member may pay using cash or by card (if accepted by Weliin’s logistics partner) at the time of delivery. No other payment mode will be accepted for COD orders. 

• Clients will be required to pay the amount as stated on the shipping label. 

• In case of split shipments or consolidated orders, the label value may differ from the product delivered. Weliin will refund any excess cash on request, subject to confirmation from the logistics partner. 

• By selecting COD, the Member agrees to pay the full order value on delivery. Weliin reserves the right to suspend accounts or initiate recovery proceedings for non-payment. 


We-Shop: Returns & Replacements (Weliin Assist Products Only) 

A member may request a replacement (identical product only) or choose to avail of merchant credit in lieu of a refund. Merchant credit is valid for 45 days, after which it lapses and no refund will be issued. 

• All replacement/refund requests must be initiated within 45 days of the order date.

• Weliin Assist does not offer a return policy, only a replacement policy. Once a customer has accepted a product, it cannot be returned. 

• Weliin Assist reserves the right to recall a product. Replacement/refund on recalled products is subject to the product being returned in a reasonable, undamaged condition. Weliin Assist will arrange pickup at no cost to the Member. 

• Refund abuse will result in blacklisting at Weliin’s sole discretion. 


We-Shop: Third-Party Sellers 

For products listed on We-Shop by third-party brands or sellers, the shipping, delivery, COD availability, returns, and refund policies of the respective seller apply. Weliin Assist bears no liability for the fulfillment, logistics, or policy compliance of third-party sellers. Customers are advised to review the individual seller’s policy before purchase. 


We-Book (Webinars, Courses, Events, Appointments) 

• Internal Services: A full refund is available if cancelled 24 hours before the scheduled event. 

• External Services: For external users listing their events, their specific privacy and cancellation policies will apply, not Weliin Assist’s. 


Schedule 4: Boosters Assist 

Includes creative assets, consultancy sessions, and ad management. 

• Consultancy Sessions: Must be used within the billing cycle. Unused sessions can only be carried forward for one month, after which they are forfeited. 

• Rescheduling: Sessions can be rescheduled independently on the platform or by contacting the Weliin Assist team directly. 

• DM campaigns must comply with applicable platform policies and TRAI guidelines. 

• Usage of external channels (WhatsApp Assist, Payment Assist, Meta, etc.) is strictly governed by the privacy policies and terms of those respective third-party platforms.


Schedule 5: Advertisement Assist 

Covers the creation, placement, and management of paid digital ads, including creative design, copywriting, targeting strategy, and reporting. 

• All ad spend paid to third-party platforms (Google, Meta, YouTube, LinkedIn, etc.) is borne entirely by the Client. 

• Ad guidelines and affiliate programs will be executed as per the respective platform guidelines and any specific MOUs signed between Weliin Assist and the advertising party. 


Feedback and Submissions 

Any feedback, suggestions, or ideas submitted to Weliin Assist become Weliin Assist's sole property. By submitting, you assign all rights in such material to Weliin Assist at no charge. 


Severability and Entire Agreement 

If any provision is found unenforceable, the remaining provisions remain in full force. These Terms, together with any applicable Schedule and the Privacy Policy, constitute the entire agreement between Weliin Assist and the Member.
